Terms of Service

Introduction

These general conditions apply to all services provided by Tangible Growth Oy Ltd (Lapinlahdenkatu 16, c/o Maria01, 00180 Helsinki, business ID 2895395-4), hereinafter referred to as the "Provider", to its customers, hereinafter referred to as the "Customer".

Billing and Pricing

All prices are quoted exclusive of value-added tax (VAT 0%). Billing is conducted monthly by credit card. The Customer is billed for the number of provisioned users in the service.

Term and Termination

The agreement is ongoing from the date of acceptance. Either party may terminate the agreement with three (3) months' written notice.

Right to use as Reference

The Provider may use the Customer's logo and name as a reference in its marketing and sales materials, unless otherwise agreed in writing.

Limitation of Liability

The Provider's liability for direct damages is limited to the total amount of payments made by the Customer during the twelve (12) months preceding the event giving rise to the claim. Neither party shall be liable for any indirect or consequential damages.

Intellectual Property

All intellectual property rights in the service belong to the Provider. The Customer receives a temporary, non-exclusive license to use the service for the duration of the agreement. Intellectual property rights to Customer data remain with the Customer.

Warranties

The Provider warrants that the service will perform substantially in accordance with its documentation. The Provider warrants that the service does not contain malicious code. Except as expressly set forth herein, the Provider disclaims all other warranties, whether express or implied.

Confidential Information

All non-public information exchanged between the parties shall be treated as confidential. Neither party shall disclose confidential information to any third party without prior written consent of the disclosing party.

Arbitration

Any disputes arising out of or in connection with this agreement shall be settled by arbitration in accordance with the Rules of the Finland Chamber of Commerce in Helsinki, Finland.

Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of the party, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, or strikes.

Service Description

The service is a cloud-based SaaS platform that provides tools for:

  • Target setting and goal management (OKRs)
  • Organisational insights and pulse surveys
  • Transformation communication and change management
  • Building common understanding across the organisation

Service Levels

Core Platform Availability: 99.5% uptime measured over a rolling 30-day period.

Response Times:

  • Changes and incidents: 5 business days
  • Security-related issues: 3 business days

Data Processing

The Customer acts as the Controller of personal data, and the Provider acts as the Processor. Both parties commit to compliance with the General Data Protection Regulation (GDPR).

The Provider may engage subcontractors for data processing with appropriate contractual safeguards. The Customer retains the right to audit the Provider's data processing practices upon reasonable notice.
